Terms of Service

1. Agreement

These Terms of Service form a binding agreement between you (or the organisation you represent) and OpenAgent, the operator of the service. Our registered correspondence address is:

By creating an account, using the embeddable widget or otherwise accessing the service, you agree to these Terms.

2. The service

OpenAgent provides a hosted live-chat and AI customer-engagement platform ("Service") on a subscription basis. The Service is delivered as software-as-a-service; you do not receive a copy of the underlying code.

3. Your account

You are responsible for everything that happens under your account. Keep your credentials safe; report any suspected compromise to [email protected] immediately.

4. Bring-your-own LLM

You provide your own API key for any LLM provider you choose. All charges from that provider for token usage are a direct contract between you and them. OpenAgent does not mark up, re-sell or take a commission on those charges. You are responsible for ensuring your use of the third-party LLM complies with their own terms.

5. Acceptable use

You agree not to use the Service for anything unlawful, harmful, defamatory or fraudulent. You will not attempt to probe, scan, reverse-engineer, overload or otherwise disrupt the platform. You will not use the Service to send spam or unsolicited messages. Repeated violations may result in suspension or termination without refund.

6. Pricing and billing

The Pro plan is billed in USD at the rate displayed on the pricing page at the time of purchase. As at the date of this policy, the rate is $5 per site per month when billed monthly, or $36 per site per year when billed annually. Taxes are added where applicable. You may cancel at any time; the current prepaid period runs to completion and no refunds are issued for partial billing periods. Business-tier customers are billed on the terms of a separate signed agreement.

7. Data and ownership

Your conversation data, knowledge-base content and customer records remain yours. We act as a data processor under your instructions. You can export everything from the dashboard at any time. See our Privacy Policy for how we handle that data.

8. Service availability

We aim for high availability but do not warrant uninterrupted service on the Pro plan. Planned maintenance is announced in advance. Business-tier customers receive a written SLA with defined uptime targets and service credits.

9. Liability

The Service is provided on an "as is" basis. To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to these Terms is capped at the fees you paid in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential or punitive damages.

10. Termination

Either party may terminate this agreement at any time. On termination we will retain your data for 30 days to allow export, then permanently delete it (subject to legal retention requirements).

11. Governing law

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.

12. Changes

We may update these Terms. Material changes will be communicated by email to workspace admins at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
